Position Summary

Cambridge MIC is a leading Canadian alternative mortgage lender managing a portfolio exceeding $400 million in assets. We are seeking a senior lawyer to lead our legal and compliance function. Reporting to executive leadership, the Legal & Compliance Lead will own all legal, regulatory, and compliance matters for the corporation and its exempt market capital-raising activities — spanning securities compliance, anti-money laundering, mortgage lending and enforcement, and corporate governance.

The ideal candidate pairs deep regulatory knowledge with practical, business-minded judgment, and is comfortable operating as the senior legal voice within a lean, entrepreneurial team.

Key Responsibilities

Legal & Compliance Leadership: Lead and build the legal and compliance function; serve as principal legal advisor to the executive team and board; develop, maintain, and enforce compliance policies and procedures; select, instruct, and manage outside counsel.

Securities & Distribution Compliance: Oversee capital raising under prospectus exemptions (NI 45-106), including offering memorandum maintenance and exempt distribution filings; ensure dealing activities comply with Exempt Market Dealer obligations under NI 31-103; oversee investor KYC, suitability, and eligibility processes; manage interactions with securities regulators, including the BCSC, ASC and OSC.

MIC & Fund Matters: Monitor and maintain the corporation’s ongoing qualification as a mortgage investment corporation under section 130.1 of the Income Tax Act (Canada); advise on share issuances, redemptions, distributions, and shareholder matters; maintain fund and corporate documentation.

Anti-Money Laundering: Own the AML/ATF compliance program and policy under the PCMLTFA and FINTRAC guidance, including KYC, Enhanced Due Diligence, ongoing monitoring, regulatory reporting, and staff training.

Mortgage Lending & Enforcement: Oversee loan commitment and security documentation; manage defaults and enforcement/foreclosure proceedings in British Columbia, Alberta and Ontario through external counsel; advise on mortgage broker licensing and conduct requirements (BCFSA, FSRA, and other provincial regulators). Prepare the group for the upcoming transition to Mortgage Services Act.

Privacy, Contracts & Corporate: Advise on privacy obligations (PIPEDA and BC PIPA); review and negotiate commercial and vendor agreements; support corporate governance and board materials; monitor and implement regulatory change across the business.

Handle Compliance Audits & Reviews: Coordinate with external compliance consultants engaged by investor groups and/or regulators to complete external compliance audit requests and obligations.

Review Marketing Material & Public Disclosures: Ensure that all material – investor reports, offering memorandum, marketing material, advertising material, listings and any data distributed by the group is compliant with relevant regulatory requirements.

Required Qualifications

• Preferred qualification of a LL.B. or J.D. and membership in good standing with the Law Society of British Columbia, the Law Society of Alberta or the Law Society of Ontario.

• Minimum 10 years of post-qualification experience (PQE) in securities, investment funds, financial services regulation, or mortgage/real estate finance.

• Working knowledge of the Canadian exempt market regime (NI 45-106, NI 31-103), including EMD compliance and KYC/suitability requirements.

• Experience building or operating AML/FINTRAC compliance programs.

• Demonstrated ability to run a legal and compliance function independently — sound practical judgment, strong drafting skills, and comfort acting as sole counsel.

Assets

• Direct experience with MICs, private credit funds, or alternative mortgage lenders.

• Eligibility to register as Chief Compliance Officer of an Exempt Market Dealer (e.g., PDO/CCO qualifying exams, Exempt Market Products Exam, or Canadian Securities Course).

• Familiarity with mortgage broker regulation (BCFSA/FSRA/RECA) and mortgage enforcement practice.

• Comfort adopting technology and AI-enabled tools to streamline compliance and documentation workflows.
